Legal Counsel – Commercial & Corporate Law

About the role

We are looking for a commercially‑minded Legal Counsel to provide practical legal support across retail operations, distribution, commercial transactions, compliance and corporate matters for a leading international fashion and lifestyle group.

Key responsibilities

• Draft, review, negotiate and advise on commercial agreements such as distribution, agency, service, vendor, procurement, marketing, e‑commerce and confidentiality contracts.
• Provide legal advice on retail operations, commercial initiatives and assess legal risks for business teams.
• Advise on corporate governance, regulatory compliance, corporate restructuring, entity management and board matters.
• Develop and maintain compliance policies, support anti‑bribery, AML, sanctions, competition law, data‑privacy and other regulatory requirements.
• Conduct legal risk assessments and support compliance training.
• Handle employment‑related legal matters, pre‑litigation disputes and coordinate external counsel for litigation, arbitration and investigations.
• Partner with regional and local management, HR, finance, retail operations, marketing and procurement functions.
• Liaise with external law firms across multiple jurisdictions and drive legal process improvements.

Required profile

• Experience gained at a reputable law firm and/or multinational company.
• Strong background in commercial contracts and general corporate legal matters.
• Experience in retail, luxury, consumer, FMCG or distribution sectors is advantageous.
• Commercially minded with excellent communication and stakeholder‑management skills.
• Fluent in English; Chinese language skills are a plus.
