Legal Counsel – Corporate & Commercial

About the role

We are looking for a Hong Kong‑qualified lawyer with 2‑5 years of post‑qualification experience to join our Group Legal Department. The role provides exposure to senior management and a variety of corporate and commercial matters, allowing you to combine solid legal analysis with business‑focused recommendations.

Key responsibilities

• Support mergers, acquisitions, disposals, restructurings, joint ventures and investment transactions.
• Draft, review and negotiate transaction documents such as sale and purchase agreements, shareholders' agreements, joint venture agreements and investment agreements.
• Draft, review and negotiate a wide range of commercial contracts.
• Provide practical legal advice on commercial initiatives and operational matters.
• Identify, assess and mitigate legal, regulatory and commercial risks.
• Coordinate and manage external legal advisers, monitoring scope, timing and costs.
• Assist with corporate governance, compliance and regulatory matters.
• Support dispute management, pre‑contentious matters and ad‑hoc legal projects as directed by the Group General Counsel.

Required profile

• Qualified solicitor in Hong Kong with a valid practising certificate or eligibility to practise.
• 2‑5 years of post‑qualification experience in a reputable law firm or in‑house legal department.
• Demonstrated experience in M&A, corporate transactions, joint ventures or strategic investments.
• Strong commercial awareness and ability to deliver solution‑oriented advice.
• Excellent written and spoken English and Chinese; fluent Cantonese and Mandarin.
• Self‑motivated, proactive and able to manage multiple workstreams in a fast‑paced environment.
