Legal Counsel – Investment Legal, Private Funds Formation

About the role

Invesco is seeking a Legal Counsel to join its Asia Pacific Investments Legal team in Hong Kong. You will act as a trusted adviser to the private markets funds business, supporting the structuring, formation, launch and ongoing maintenance of real estate and other alternative investment funds across the region.

Key responsibilities

• Work closely with investment teams and stakeholders to structure, form, launch and maintain real estate and alternative investment funds.
• Draft, review and negotiate fund documentation such as private placement memoranda, limited partnership agreements, subscription agreements and side letters.
• Provide legal advice on fund formation, governance, operations, distribution/marketing and investor relations.
• Coordinate and manage external legal counsel, tax advisors and regulatory consultants as needed.
• Stay current on industry trends, regulations and best practices, and advise on global regulatory developments affecting the private markets business.

Required profile

• Minimum 6 years of legal experience in investment management, with a focus on real estate or private equity fund formation.
• Previous experience at a national law firm or as in‑house counsel at a leading asset manager is advantageous.
• Strong understanding of alternative investment structures and related regulatory frameworks.

Required skills

• Expertise in drafting and negotiating fund documentation (e.g., private placement memoranda, limited partnership agreements, subscription agreements, side letters).
• Knowledge of fund formation, governance, operations, distribution and investor relations.
• Ability to coordinate with external counsel, tax advisors and regulatory consultants.
