Legal Counsel – Private Investment Group / Family Office

About the role

We are seeking an experienced Legal Counsel to join a privately‑owned investment and family‑office group. The role provides a blend of transaction work and day‑to‑day business advisory across Hong Kong, Mainland China and offshore jurisdictions.

Key responsibilities

• Draft, review and negotiate a wide range of commercial and corporate agreements.
• Support investment transactions, strategic partnerships, joint ventures and corporate projects.
• Assist with acquisitions, disposals and investment structures across multiple jurisdictions.
• Manage disputes and contentious matters, coordinating with external litigation counsel and monitoring proceedings.
• Advise internal stakeholders on legal, contractual and risk‑management issues.
• Coordinate with external law firms and professional advisers on transaction execution and regulatory matters.
• Support corporate governance, group restructuring and company secretarial legal matters.
• Handle legal documentation and administrative matters for investment vehicles and portfolio companies.
• Provide general legal support to senior management on ad‑hoc business matters.

Required profile

• Qualified lawyer with approximately 5‑8 years post‑qualification experience.
• Experience from a reputable law firm and/or an in‑house legal team.
• Background in commercial litigation, dispute resolution, corporate advisory or general commercial work.
• Exposure to corporate transactions, investments, shareholder matters or M&A is advantageous.
• Familiarity with investment funds or fund structures is beneficial but not mandatory.
• Strong drafting, negotiation and stakeholder‑management abilities.
• Ability to work independently and deliver commercially‑focused advice.
• Fluent English required; Cantonese and/or Mandarin preferred.
