Senior Legal Counsel

About the role

RENPHO is seeking a Senior Legal Counsel to support its global operations, focusing on US commercial law and cross‑border transactions. The role involves providing practical legal advice, managing contracts, and ensuring compliance across multiple jurisdictions.

Key responsibilities

• Draft, review, risk‑assess, and negotiate commercial agreements such as MSAs, vendor contracts, partnership agreements, and NDAs.
• Interpret and apply US commercial law standards, including the UCC, common‑law contract principles, and state‑specific regulations.
• Provide clear, timely legal advice to internal stakeholders on day‑to‑day operational issues.
• Identify legal risks in cross‑border business operations and develop mitigation strategies aligned with business goals.
• Monitor regional and international legal developments, especially US federal and state commercial regulations.
• Ensure corporate compliance with data privacy, employment standards, and consumer protection laws.
• Manage US and Hong Kong counsel for specialized advice or litigation support, ensuring cost‑effective service delivery.

Required profile

• Bachelor of Laws (LL.B.); LL.M. preferred, especially in Corporate, International Business, or US Commercial Law.
• Minimum 5 years post‑qualification experience, ideally a mix of law‑firm and in‑house corporate work.
• Proven experience handling US‑centric commercial contracts and navigating US business environments.
• Strong understanding of US contract law, liability limitations, indemnification structures, and dispute resolution mechanisms.
• Ability to balance legal constraints with business realities and propose creative solutions.
• Excellent drafting skills and the capacity to translate complex legal concepts into clear advice for non‑legal stakeholders.
• Highly organized, detail‑oriented, and comfortable making high‑stakes decisions with minimal supervision.
• Fluency in written and spoken English.
