Associate General Counsel – Digital Asset Venture Capital (Remote)

About the role

We are seeking a senior legal professional to serve as the sole in‑house counsel for a boutique venture fund and its operating platform. Reporting directly to the Partners, you will lead all legal matters across fund operations, public‑company board interactions and regulatory compliance, working on Asia business hours from any of the listed locations.

Key responsibilities

• Oversee Cayman‑registered fund vehicles, including structuring, SAFEs, LP side‑letters, regulatory filings and coordination with administrators.
• Manage venture investment documentation for global deals and support cross‑border transactions.
• Protect the firm’s interests in board‑level strategy, PIPE transactions and treasury integrations for listed companies, enforcing disclosure discipline and MNPI controls.
• Supervise internal entity management across operational jurisdictions, monitor evolving digital‑asset regulations and draft operational agreements such as NDAs, vendor, employment and AI policies.
• Direct and manage external counsel across multiple regions, maintaining a dedicated legal budget and building scalable internal templates for routine transactions.

Required profile

• 5‑10 years post‑qualification experience in corporate, transactional or funds law, with significant in‑house or business‑adjacent exposure.
• Admission to the bar in at least one key market (US, Cayman Islands, Hong Kong, Taiwan, South Korea or Thailand).
• Direct familiarity with Cayman fund structures, cross‑border venture deals and public‑company governance/listing mechanics.
• Full fluency in English (Mandarin a plus) and ability to work strictly on Asia business hours regardless of location.
