Legal Director

About the role

We are seeking a highly qualified Legal Director to join a Hong Kong listed company. Reporting directly to the Vice President, you will ensure compliance with the Listing Rules and Corporate Governance Code while providing strategic legal support across the organisation.

Key responsibilities

• Lead legal review of annual and interim reports, results announcements, and statutory filings.
• Monitor regulatory updates from HKEX and the SFC and advise the Board on governance frameworks.
• Provide legal support for Board and committee meetings, including advice on directors' statutory duties and fiduciary responsibilities.
• Negotiate and review major contracts, manage legal due diligence and deal structuring for M&A and investment projects.
• Oversee Red‑chip/VIE compliance and establish anti‑corruption, AML, data‑privacy, and insider‑trading compliance systems.
• Handle regulatory enquiries, investigations, and litigation.
• Lead and develop the internal legal team and manage external counsel engagements.

Required profile

• Law degree and qualification as a solicitor or barrister in Hong Kong or another common‑law jurisdiction (PRC qualification a plus).
• 12+ years of legal experience, including at least 5 years as a legal head of a HK‑listed company or senior partner/associate at an international law firm.
• Hands‑on experience with HK IPOs, cross‑border M&A, private‑equity financing, and Red‑chip/VIE structures.

Required skills

• Strong knowledge of the Hong Kong Listing Rules, Companies Ordinance and Securities and Futures Ordinance.
• Excellent legal drafting and negotiation abilities in both English and Chinese.
