Legal Manager – Compliance & Governance

About the role

We are seeking an experienced Legal Manager to lead compliance, governance and commercial legal activities for our Hong Kong operations. The role works closely with the Board, Company Secretary and business units to ensure regulatory adherence and protect the company’s interests.

Key responsibilities

• Build and maintain Hong Kong compliance systems and draft governance materials.
• Partner with the Company Secretary on board documentation, shareholder communications and disclosure obligations.
• Draft and negotiate distribution, licensing and agency agreements, coordinating cross‑border execution with China Legal.
• Manage Hong Kong litigation and arbitration, liaising with external counsel.
• Interface with HK regulators, monitor legal developments and advise senior management.
• Provide daily legal advice to business, finance and HR, and develop compliance policies and training.

Required profile

• LL.B or equivalent and qualified to practice law in Hong Kong.
• Minimum 6 years post‑qualification experience (PQE) with strong grounding in Hong Kong common law, corporate law, contract law and compliance.
• Experience in listed‑company governance and international brand distribution is advantageous.
• Familiarity with PRC cross‑border compliance preferred.
• Bilingual fluency in English and Cantonese/Mandarin.
• Collaborative mindset and ability to work across legal and governance functions.
