Depositary/Fiduciary Services Officer

About the role

The Depositary Services Team delivers trustee and fiduciary services in Hong Kong. This role supports the Head of Depositary Services in strengthening the depositary service platform and building a strong compliance and risk culture, and helps develop and deliver specialist training with Legal, Risk, Compliance and Operations. The incumbent ensures State Street's duties as Depositary are carried out in line with legal documents, laws, regulations and regulatory authority requirements.

Key responsibilities

• Process fund sponsors' directions and prepare the necessary documentation (directors'/unitholders' resolutions, formal notifications)
• Review trust and fund documents (trust deeds, offering documents, investment management agreements, subscription/redemption documents) to ensure they are in order and procedures are followed
• Keep the books and records required as trustee/custodian properly maintained
• Review and comment on amendments to fund constitutive and offering documents
• Review and manage the preparation of fund financial statements and liaise with auditors as needed
• Ensure documents are in order and regulatory filings are completed on time, working with colleagues locally and elsewhere
• Oversee trustee/custodian and delegated services, including daily investment compliance monitoring and regular reviews
• Perform due diligence on service providers and prepare due diligence reports
• Attend client and internal meetings, prepare meeting materials and minutes
• Identify breaches and risks, advise clients on trustee or fiduciary matters and escalate issues for rectification or reporting
• Support business development initiatives and ad hoc assignments

Required profile

• University graduate, preferably in business, finance or a related discipline
• At least 5 years' experience in trustee and fiduciary services, preferably trust operations; regulatory, paralegal, company secretary or compliance experience in financial services (trustee/asset management) also considered
• Good understanding of the legal, regulatory, compliance and risk requirements of a trustee and fiduciary environment
• Solid knowledge of investment products (regulated and unregulated) and investments generally
• Type 13 Regulated Activities licence preferred; candidates without it are expected to obtain it
• Excellent command of written and spoken English and Chinese
