Vice President, Asia Pacific Equity Capital Markets Legal Counsel

About the role

Join a global financial services leader as a Vice President in the Asia Pacific Banking Legal team. You will provide legal support for equity capital markets transactions across the region, working closely with stakeholders in Hong Kong, Singapore, Taiwan and Southeast Asia. The role involves delivering practical legal solutions, ensuring regulatory compliance, and contributing to best‑in‑class governance.

Key responsibilities

• Provide legal support for equity capital markets transactions, including IPOs, equity‑linked offerings, private placements and block trades.
• Advise on legal matters where the firm acts as underwriter, sponsor or placement agent.
• Support debt capital markets and M&A transactions as part of the broader Asia Pacific Banking Legal team.
• Collaborate with legal colleagues in Hong Kong, Singapore, Tokyo, Sydney, Seoul, Shanghai and Mumbai.
• Review, negotiate and draft underwriting agreements, subscription and placing agreements, comfort letters and related documentation.
• Manage relationships with external counsel, including reviewing legal opinions and supervising due‑diligence.
• Advise business teams on legal, regulatory and reputational risk issues, coordinating with risk and control functions.
• Stay current on legal and regulatory developments and contribute to internal trainings and process improvements.

Required profile

• Qualified lawyer from a common‑law or US jurisdiction with at least 7 years post‑qualification experience.
• Experience in equity capital markets gained at a major international law firm or leading investment bank.
• Familiarity with Hong Kong listing rules and SFC due‑diligence requirements.
• Strong drafting, negotiation and analytical skills with attention to detail.
• Excellent written and spoken English and fluency in Mandarin.
• Proven ability to manage competing priorities, work under pressure and meet deadlines.
